Terms of Service
1. The agreement
These terms form a contract between you and xVentures Global Ltd, a company registered in England and Wales under number 12298947 ("Magpie", "we", "us"). By creating an account or using the service you agree to them. If you do not agree, do not use the service.
2. What Magpie does
Magpie is a personal executive-assistant service. With your permission it reads your email and calendar, organises notes and documents into a personal knowledge vault, briefs you on your day, prepares draft replies for your review, places confirmed events in your calendar, and answers questions about your own information. You interact with it through a messaging app and, where available, a web application.
Magpie never sends email on your behalf. Email replies are written into your own Drafts folder for you to review, edit and send yourself. This is enforced by our architecture, not merely by policy.
Magpie can act in two ways when you ask it to: it can add or update events in your calendar, and it can arrange things with third parties on your instruction, such as booking a table, for example. You remain responsible for those arrangements, including any cancellation terms or charges the provider imposes. Check anything that matters before relying on it.
3. Eligibility
You must be at least 18 and able to form a binding contract. The service is offered for personal and professional use by an individual; you may not share one account between people.
4. Your account
You are responsible for your account credentials and for activity under your account. Tell us promptly at hello@meetmagpie.ai if you suspect unauthorised access. Keep your contact details accurate.
5. Connected accounts
Magpie works by connecting to services you already use, such as Google. You choose which to connect and you may disconnect any of them at any time. By connecting a service you confirm you are entitled to grant that access and that doing so does not breach your agreement with that provider or any duty you owe a third party, including any employer whose account you connect.
We access only what the permissions you grant allow, and only to provide the service. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Connected services are operated by third parties; we are not responsible for their availability, and changes they make may affect what Magpie can do.
6. Nature and limits of AI output
Magpie uses large language models. You accept that:
- output may be wrong, incomplete or misleading, including summaries of your own email and any facts, dates, figures or names it reports;
- output is for your review; you are responsible for checking anything you act on, send or rely on;
- Magpie is not professional advice. It does not provide legal, financial, medical, tax or investment advice, and must not be relied on as a substitute for a qualified professional;
- similar requests may produce different results, and features may change as the underlying models change.
You must not use Magpie as the sole basis for a decision with legal, financial, medical or safety consequences.
7. Acceptable use
You must not use Magpie to break the law or infringe anyone's rights; to access an account you are not authorised to access; to process another person's personal data without a lawful basis; to send spam or harass anyone; to generate unlawful, defamatory or deliberately deceptive material; to probe, disrupt or reverse-engineer the service or evade its limits; or to resell it without our written agreement.
We may suspend an account that we reasonably believe is being used in breach of this section.
8. Fees and billing
Magpie is a paid subscription. Current prices are shown at the point of sale and are stated inclusive of VAT where applicable of VAT. Subscriptions renew automatically each month until cancelled, and we charge your payment method on each renewal date. We may change prices on 30 days' notice, effective from your next renewal; if you do not accept a change you may cancel before it takes effect. Failure to collect payment may lead to suspension.
9. Cancellation and refunds
You may cancel at any time; access continues to the end of the paid period, and we do not refund part-periods except where the law requires it. If you are a consumer in the UK or EU you have a statutory 14-day right to cancel a new subscription; by asking us to start the service immediately you agree we may begin within that period, and if you then cancel we may charge for what you have used. Nothing here affects your statutory rights.
10. Intellectual property
Your content stays yours. You keep all rights in the email, documents, notes and other material you bring to Magpie, and in the vault and drafts the service produces for you. You grant us a limited licence to process that material solely to provide the service to you, and for no other purpose.
We keep all rights in the Magpie software, brand and website. These terms grant you a personal, non-exclusive, non-transferable right to use the service while your subscription is active.
11. Privacy
Our Privacy Policy explains what we collect and how we handle it, and forms part of these terms.
12. Availability
We aim to keep Magpie available but do not guarantee uninterrupted service. We may carry out maintenance, and may modify or discontinue features. Where we discontinue a material feature or the service itself we will give reasonable notice and a pro-rata refund of any prepaid unused period. Magpie depends on third-party services and their outages may interrupt it.
13. Warranties
Except as expressly stated and as required by law, the service is provided "as is" and we exclude all implied warranties, including fitness for a particular purpose and that output will be accurate or error-free. If you are a consumer you have legal rights that these terms do not affect.
14. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, business or opportunity, or for loss or corruption of data to the extent it results from your own failure to keep copies. We are not liable for any act you take, or fail to take, in reliance on Magpie's output, including sending a draft it prepared or relying on a summary it produced. Our total liability in any 12-month period is limited to the fees you paid us in that period.
15. Termination
You may close your account at any time. We may suspend or terminate for material breach, for non-payment, or where required by law, giving notice where practicable. On termination your access ends and your data is deleted as described in the Privacy Policy; export your vault first if you want a copy.
16. Changes
We may update these terms. We will post the new version here with a revised date and, for material changes, give at least 30 days' notice. Continuing to use the service after a change takes effect means you accept it.
17. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the UK or EU, you keep the protection of the mandatory laws of your country of residence and may bring proceedings there.
